Citadel Urges SEC to Police Company-Linked Event Contracts

Event contracts allow traders to wager on outcomes ranging from economic data to corporate performance. When such products track key performance indicators reported by a US-listed company, however, they can blur the boundary between derivatives overseen by the Commodity Futures Trading Commission and securities regulated by the Securities and Exchange Commission. The distinction matters because it determines listing scrutiny, public-comment requirements and safeguards against insider trading.

Citadel Securities urged the SEC and CFTC in a Sept. 9, 2026 letter to recognize the SEC as the primary regulator of event contracts tied to public companies. The market maker said KPI-linked binary options should be treated as securities and could also qualify as security-based swaps. It warned that CFTC-registered venues can self-certify products and begin trading as soon as the next business day, potentially bypassing the SEC’s approval process. The letter disclosed no transaction value.

The U.S. Securities and Exchange Commission, or SEC, primarily oversees securities markets, while the Commodity Futures Trading Commission, or CFTC, regulates commodities and derivatives. Crypto assets can straddle their jurisdictions, creating longstanding overlaps in definitions, registration and enforcement. Formal coordination between the agencies could reduce compliance uncertainty for firms and align investor and customer protection standards.

SEC Chair Paul Atkins and CFTC Chair Michael Selig formally signed a memorandum of understanding on March 11, 2026, launching a joint coordination initiative covering meetings, product applications, policymaking, examinations, enforcement and data sharing. The agreement includes no funding commitment or monetary amount. Either agency must provide 30 days’ written notice to terminate it.
