OpenAI’s governance structure stems from its 2015 founding as a nonprofit and the creation of a for-profit subsidiary in 2019 to scale research and deployment. Following a recapitalization announced on Oct. 28, 2025, the nonprofit—renamed the OpenAI Foundation—retained control of OpenAI Group PBC, a public benefit corporation. The Foundation held a 26% stake valued at about $130 billion at the closing, linking its philanthropic resources to the company’s long-term growth.

OpenAI said on July 21, 2026, that David Vélez and Robin Vince had joined the boards of both the OpenAI Foundation and OpenAI Group PBC. Vélez is the founder, chairman and global CEO of Nubank, the Latin American digital bank he launched in 2013, which now serves more than 135 million customers. Vince is chairman and CEO of BNY, a financial institution with more than 240 years of history, and has led it since 2022, bringing experience in AI investment, risk and governance.
