Anthropic, founded in 2021 and incorporated as a Delaware public benefit corporation, designed its governance to balance shareholder returns with AI safety and public benefit. Its Long-Term Benefit Trust, established in 2023, holds non-economic Class T shares and can elect or remove a majority of the company’s seven-member board. Anthropic confidentially submitted a draft S-1 to the U.S. Securities and Exchange Commission on June 1, 2026, after raising $65 billion at a $965 billion post-money valuation. A listing could come in late September or October, with a public prospectus possible after the September 7 Labor Day holiday. Ahead of the offering, Anthropic is considering supervoting shares for Chief Executive Dario Amodei and its six other founders. Amodei owns roughly 2%, while the Trust, now comprising three non-shareholder trustees, retains power to select a board majority.
