OppFi to Acquire BNC Bank for $130 Million
OppFi is a U.S. nonbank consumer lender whose digital platform serves borrowers with limited access to traditional credit. It has historically relied on partner banks to originate loans. Acquiring BNCCORP and its BNC National Bank subsidiary would give OppFi a nationwide banking platform and access to lower-cost deposit funding while bringing lending, compliance and risk management under one organization.
OppFi announced the cash-and-stock transaction on April 29, 2026, valuing it at about $130 million. The consideration will consist of approximately 53% cash and 47% OppFi Class A common stock. The deal is expected to close in the fourth quarter of 2026, subject to approval by BNCCORP shareholders and U.S. banking regulators. BNC will be renamed OppFi Bank after completion.
