Trump-Backed Truth Social Withdraws Crypto ETF Filings

None of the filings had become effective, and no securities had been sold, leaving public-offering proceeds at $0. The company will shift from a structure under the Securities Act of 1933 to one governed by the Investment Company Act of 1940 to strengthen oversight and product flexibility.

Trump Media & Technology Group launched its fintech brand Truth.Fi in 2025, established a Bitcoin treasury and partnered with Crypto.com to apply for ETFs covering Bitcoin, Ether and Cronos. It held more than 11,500 Bitcoin as of the end of September. A spinoff would allow the social media platform to be valued separately from the company's crypto-asset and energy businesses, with implications for shareholder interests and capital allocation.

Trump Media said on February 27, 2026, that it was in talks with nuclear fusion startup TAE Technologies and special-purpose acquisition company Texas Ventures Acquisition III. After its proposed merger with TAE, valued at more than $6 billion, is completed, Truth Social would be spun off as SpinCo and then merge with the SPAC to go public. Shares would be distributed to existing shareholders, but the plan remains subject to definitive agreements and regulatory approval.
