Fiserv Seeks Dismissal of Investor Fraud Lawsuit
Fiserv, a major U.S. provider of payment processing and financial technology services, owns the Clover merchant platform at the center of the dispute. Investors allege the company overstated Clover’s growth and merchant retention, leaving the market unprepared for weaker performance and a guidance reset. The proposed securities class action, filed in the U.S. District Court for the Southern District of New York, tests whether Fiserv’s disclosures gave shareholders a fair view of risks facing a key growth business.
Fiserv has asked the court to dismiss the case, arguing that the complaint does not adequately plead a false statement, fraudulent intent or a causal link to investor losses. The company denied wrongdoing and called the claims meritless. The action was initially filed on July 24, 2025. A day earlier, after Fiserv cut its outlook, the shares dropped 13.9% to close at $143, a decline the plaintiffs say followed corrective disclosures about Clover’s performance.
