AtlasClear Plans Commercial Bancorp Acquisition to Build Integrated Financial Services Platform
AtlasClear Holdings is a technology-driven financial services holding company that provides securities clearing and financial infrastructure through its Wilson-Davis subsidiary. Acquiring Commercial Bancorp and its Farmers State Bank unit would add regulated deposit-taking, payments and lending capabilities, creating a vertically integrated platform.
AtlasClear signed a stock purchase agreement on February 5, 2026, to acquire all outstanding shares of Commercial Bancorp, then filed applications with the Federal Reserve and the Wyoming Division of Banking on April 13. The consideration will comprise cash and stock, and AtlasClear has paid a $100,000 deposit. The total transaction value will be determined by factors including adjusted book value at closing.
