GlobalFoundries to Issue $375 Million in Shares to U.S. Commerce Department
GlobalFoundries is a key U.S. contract chipmaker and a partner in Washington’s effort to expand domestic semiconductor capacity. The share arrangement accompanies a $375 million CHIPS research-and-development award, payable over five years against milestones, to scale the company’s Quantum Technology Solutions business and strengthen a U.S. quantum-chip supply chain. By taking equity alongside federal support, the government may capture upside for taxpayers, while existing investors face dilution and a new form of state ownership.
On Sept. 3, 2026, GlobalFoundries signed a securities issuance agreement to provide the U.S. Department of Commerce with 9,907,399 ordinary shares at $37.85 each, valuing the issuance at about $375 million. The Sept. 8 filing said the department may not privately transfer the stock to a GlobalFoundries competitor and generally cannot vote it, except on limited class-rights and merger matters. GlobalFoundries must file a Form F-3 shelf registration statement within six months and granted the department piggyback registration rights.
