KeyCorp Expands US Middle-Market Reach, Targets European M&A

Cleveland-based KeyCorp serves consumers and businesses across 15 U.S. states through KeyBank, while KeyBanc Capital Markets provides corporate and investment-banking services to middle-market companies nationwide. The lender is prioritizing commercial payments, investment banking and wealth management as fee-income engines that can diversify earnings beyond traditional lending spreads. Its planned purchase of Clearwater UK would add a Western European advisory platform, helping KeyCorp connect U.S. clients with overseas buyers and give European sellers broader access to U.S. private-equity capital.

KeyCorp reported on July 21 that second-quarter 2026 gross commercial-payments fees rose 12% from a year earlier, investment-banking pipelines increased 9% from the prior quarter and assets under management reached a record $74 billion. The three priority fee businesses grew a combined 8% in the first half versus the same period of 2025. KeyCorp now expects average commercial loans to expand 8% to 10% this year and aims to close the Clearwater UK acquisition, for which no price was disclosed, in the second half of 2026, subject to approvals.
