Metaplanet CEO Concedes Communication Failings as Options Dispute Deepens
Japan-listed Metaplanet has recast itself as a bitcoin treasury company, repeatedly issuing shares to finance cryptocurrency purchases. That strategy has diluted existing investors while expanding the equity base used for management incentives. Shareholder scrutiny has centered on its Series 10 options program, with critics questioning whether executive rewards have grown alongside dilution and whether the board has provided adequate oversight.
Metaplanet’s chief executive acknowledged that the company had not sufficiently explained the Series 10 plan in responding to shareholder criticism. The board subsequently revised the incentive scheme but declined to apply the changes retroactively, leaving concerns over dilution and governance unresolved. The shares fell 7.5% on Sept. 7, 2026, and dropped more than 5% intraday on Sept. 8 as the dispute continued to weigh on sentiment.

The history behind this eventMetaplanet Slides 17% as Dilution Dispute Fuels Shareholder Backlash
Metaplanet is a Japanese listed company that has attracted investors by making bitcoin accumulation central to its treasury strategy. It has tapped capital markets, including stock acquisition rights, to finance additional purchases. The approach can expand its bitcoin holdings without relying solely on operating cash, but a large pipeline of potential shares risks diluting existing investors’ ownership and per-share value, putting the company’s financing structure and governance under scrutiny.
Metaplanet shares fell about 17% over two consecutive trading sessions as the dilution dispute intensified. Shareholders questioned the chief executive’s exercise of stock acquisition rights after the issuance ceiling had been established, raising concerns over timing, conflicts of interest and disclosure. Investors are demanding that the company cancel 273 million shares and provide a clearer account of major shareholders’ positions, as well as the full dilution impact of the disputed arrangement.
